as the "Services"). By accessing or using the Platform, you agree to

2. Eligibility To use the Platform, you must
be at least 18 years old and capable of entering into legally binding
contracts. By using the Platform, you represent and warrant that you meet these
eligibility requirements.
3. Registration and Account

- You are

password and for all activities that occur under your account.
4. Services Provided
- Hupro
connects logistics providers ("Carriers") with customers
("Shippers") to facilitate the transportation of goods.
- Carriers
may list available services, including pricing, delivery times, and
routes, while Shippers can request quotes and schedule shipments.
- The
Platform does not directly engage in the transportation of goods; it
serves as an intermediary.
5. Fees and Payments
- Users
agree to pay all fees associated with the Services, including shipping
charges, handling fees, and any other applicable costs.
- Payments
may be processed through third-party payment processors. You agree to
comply with the payment terms of those processors.
- All
fees are non-refundable unless otherwise specified.
6. Responsibilities of Shippers
- Shippers
are responsible for ensuring that the goods are properly packed and comply
with applicable laws and regulations.
- Shippers
must provide accurate information regarding the shipment, including but
not limited to weight, dimensions, and nature of the goods.
- Shippers
must ensure that their goods are safe to transport and do not violate any
laws or regulations.
7. Responsibilities of Carriers
- Carriers
are responsible for providing accurate delivery times and services as
described in their listings.
- Carriers
must comply with all applicable laws and regulations related to the
transportation of goods.
- Carriers
must take reasonable care to protect the goods during transportation.
8. Prohibited Activities Users agree
not to:
- Engage
in any fraudulent or illegal activity on the Platform.
- Use the
Platform to transport prohibited or dangerous goods, including but not limited
to hazardous materials, illegal substances, or contraband.
- Interfere
with or disrupt the Platform’s services, systems, or servers.
9. Liability
- The
Platform is not responsible for any loss, damage, or delay that occurs
during the transportation of goods.
- Users
agree to indemnify and hold harmless Hupro Private Limited, its
affiliates, and service providers from any claims arising from their use
of the Platform.
10. Privacy and Data Protection
- By
using the Platform, you consent to the collection, use, and sharing of
your personal data as outlined in our Privacy Policy.
- We take
reasonable measures to protect your data, but we cannot guarantee the

11. Termination
- Either
party may terminate or suspend their account at any time for any reason,

- Hupro

arbitration in accordance with the rules of Gujarat Government.
- The
venue for any legal proceedings will be in Gujarat.

- These
Terms shall be governed by and construed in accordance with the laws of

Supply Platform

"Platform"), a service provided by Hupro Private Limited
("we," "us," "our"). These Terms and Conditions
("Terms") govern your access to and use of the Platform, including
any related services, applications, or websites (collectively referred to as
the "Services"). By accessing or using the Platform, you agree to be
bound by these Terms and our Privacy Policy.
2. Eligibility To use the Platform, you must
be at least 18 years old and legally able to enter into binding contracts. By
using the Platform, you represent and warrant that you meet these eligibility
requirements.
3. Registration and Account
- You may
be required to create an account to use certain features or book
transportation services.
- During
registration, you must provide accurate and complete information and
ensure that your account details are up-to-date.
- You are
responsible for maintaining the confidentiality of your account and
password and for all activities that occur under your account.
4. Services Provided
- Hupro
connects passengers ("Passengers") with drivers
("Drivers") who provide transportation services.
- The
Platform allows Passengers to book rides, check ride prices, track
vehicles, and make payments.
- Drivers
use the Platform to offer transportation services in their personal or
company-owned vehicles. Hupro acts solely as an intermediary and does not
directly provide transportation services.
5. Fees and Payments
- Passengers
agree to pay all applicable fees for the transportation services,
including ride fare, surge pricing, tolls, and any other associated
charges.
- All
payments will be processed through third-party payment processors, and you
agree to comply with their terms.
- Fees
and charges are non-refundable unless otherwise specified by Hupro Private
Limited.
6. Passenger Responsibilities
- Passengers
must ensure that they provide accurate pickup and drop-off locations,
including any special instructions.
- Passengers
must behave respectfully and responsibly during their ride, including
refraining from disruptive behaviour or damage to the vehicle.
- Passengers
are responsible for their personal belongings during the ride. Hupro
Private Limited is not responsible for lost items.
7. Driver Responsibilities
- Drivers
must provide transportation services in accordance with all applicable
laws and regulations, including having the necessary licenses and
insurance.
- Drivers
are responsible for maintaining their vehicle in a safe and clean
condition.
- Drivers
must arrive at the pickup location on time, or they should communicate
delays to the Passenger.
8. Code of Conduct Both Passengers and Drivers
must:
- Treat
each other with respect and courtesy.
- Not
engage in illegal, discriminatory, or harassing behaviour.
- Not use
the Platform for any illegal purposes or activities, including but not
limited to drug use, carrying hazardous materials, or transporting
prohibited items.
9. Prohibited Activities Users agree
not to:
- Engage
in fraudulent or illegal activities on the Platform.
- Use the
Platform to solicit or arrange rides outside the Platform, circumventing
the payment or service structure.
- Engage
in behaviour that threatens the safety, comfort, or well-being of others
(e.g., physical violence, abusive language, etc.).
10. Privacy and Data Protection
- By
using the Platform, you consent to the collection, use, and processing of
your personal data as outlined in our Privacy Policy.
- We take
reasonable steps to protect your data; however, we cannot guarantee the
complete security of any information transmitted over the internet.
11. Limitation of Liability
- The
Platform is not responsible for any direct or indirect loss, injury, or
damage that occurs during a ride.
- Hupro
Private Limited disclaims any liability for issues arising from the
performance of Drivers or Passengers. We act as an intermediary only and
are not liable for the actions of users.
- Passengers
and Drivers are solely responsible for resolving any disputes related to
the transportation services.
12. Termination and Suspension
- Hupro
Private Limited reserves the right to suspend or terminate access to the
Platform for any user who violates these Terms or engages in illegal or
harmful behaviour.
- Either
party (Passenger or Driver) may terminate the ride request or service at
any time, subject to payment for any incurred charges.
13. Dispute Resolution
- Any
disputes related to these Terms shall be resolved through binding
arbitration, with the location and arbitration provider specified in the
applicable agreement.
- Any
claim, dispute, or controversy between the parties shall be governed by
the laws of Gujarat.
14. Modifications
- Hupro
Private Limted reserves the right to modify or update these Terms at any
time. Changes will be posted on the Platform, and the effective date will
be updated accordingly.
- You are
responsible for reviewing these Terms periodically for any updates or
